<p>Technology transfer in Iran’s oil industry constitutes a major requirement for sustainable development, reduction of technological dependence, enhancement of domestic capabilities, and improvement of efficiency in upstream and infrastructure projects. However, effective technology transfer cannot be achieved merely through the importation of equipment, access to foreign know-how, or the participation of international contractors; rather, it requires carefully designed legal, contractual, and institutional mechanisms. This study adopts a descriptive-analytical and comparative approach to examine the legal mechanisms of technology transfer under Iran Petroleum Contracts (IPC) and alternative models, including NISOC-based arrangements, Build–Operate–Transfer (BOT), and Public–Private Partnership (PPP) structures in Iran’s oil industry. The analysis focuses on the regulation of obligations concerning technical know-how, personnel training, domestic company participation, access to technical data and documentation, protection of intellectual property rights, localization of equipment and services, gradual transfer of operational responsibilities, and contractual enforcement mechanisms. The findings indicate that IPC, due to its long-term structure and integration of development and production stages, offers significant potential for technology transfer in upstream operations and reservoir management. Nevertheless, if transfer obligations and performance indicators are inadequately defined, it may also reinforce technological dependence. NISOC-based arrangements provide stronger potential for direct absorption of knowledge because of their closer integration with domestic operational structures. BOT is particularly effective in infrastructure projects when asset transfer is accompanied by operational know-how, technical documentation, and training. PPP, owing to its flexibility in risk allocation and performance-based incentives, creates favorable conditions for long-term cooperation and joint innovation. The study concludes that the most appropriate approach for Iran is a hybrid contractual framework combining the strengths of these models and treating technology transfer as an independent, measurable, and enforceable contractual objective.</p>
