سلب مالکیت غیرمستقیم در داوریهای سرمایهگذاری و جایگاه آن در حقوق ایران: از ماده ۹ قانون تشویق و حمایت سرمایهگذاری خارجی تا «حق تنظیمگری دولت» در رویههای بینالمللی

سلب مالکیت غیرمستقیم بهعنوان یکی از مناقشهبرانگیزترین مفاهیم در حقوق بینالملل سرمایهگذاری، زمانی رخ میدهد که دولت بدون انتقال رسمی مالکیت، با اقدامات مقرراتی یا اجرایی (نظیر تغییرات مالیاتی، محدودیتهای ارزی، مقررات زیستمحیطی یا مداخلات اداری) اثر اقتصادی سرمایهگذاری را بهگونهای تضعیف کند که کارکرد و منافع اساسی آن عملاً زایل یا به شدت محدود شود. در حقوق ایران، ماده ۹ قانون تشویق و حمایت سرمایهگذاری خارجی مصوب ۱۳۸۰ عمدتاً ناظر به مصادره و سلب مالکیت بهمعنای کلاسیک است و نسبت آن با گونههای نوین سلب مالکیت در داوریهای سرمایهگذاری، از جمله سلب مالکیت غیرمستقیم، از حیث معیارهای احراز، حدود جبران و سازگاری با «حق تنظیمگری دولت» با ابهامهایی مواجه است. مسئله اصلی این پژوهش، تبیین شکاف هنجاری و تفسیری میان چارچوب داخلی ایران و استانداردهای توسعهیافته در رویههای بینالمللی (بهویژه داوریهای سرمایهگذاری) و بررسی این پرسش است که: معیارهای تشخیص سلب مالکیت غیرمستقیم در رویههای بینالمللی چیست و چگونه میتوان آن را با ماده ۹ قانون ۱۳۸۰ و اصول حاکم بر تنظیمگری دولت در نظام حقوقی ایران جمع کرد؟ یافتههای تحقیق نشان میدهد که گرایش غالب رویههای داوری، بهسوی آزمونهای ترکیبی (شدت اثر، تداخل با انتظارات مشروع و هدف/تناسب اقدام) حرکت کرده و در عین حال، با پذیرش حق تنظیمگری، اقدامات عمومیِ غیرتبعیضآمیز و متناسب را غالباً از شمول سلب مالکیت خارج میداند. نتیجه پژوهش آن است که برای کاهش ریسک اختلافات و افزایش پیشبینیپذیری، لازم است در حقوق ایران تفسیر موسّع و معیارمند از ماده ۹، همراه با تصریح به معیارهای اثرگذاری، تناسب و جبران، و نیز طراحی شروط قراردادیِ مدیریت ریسک مقرراتی مورد توجه قرار گیرد. روش تحقیق توصیفی–تحلیلی با رویکرد تطبیقی و مبتنی بر مطالعه اسنادی است.
